For long term associations it may be preferable to appoint a non executive director. A non executive director (NED) may be appropriate at times of rapid growth, for managing change, enhancing the skill set of the Board or having a 'wise owl' to turn to for advice.
In addition the presence of an independent non executive director will be invaluable in adding strength to the management team. This is of particular importance to funding providers but also a NED’s input into early stage and established SMEs can be invaluable.
The key challenges of the Non Executive Director may include:
1. Contributing to the formulation of business strategy
2. Development of the culture, corporate vision and mission
3. Preparation for the raising of investment
4. Impacting the financial performance of the organisation
5. Offering advice on good corporate governance
6. Build credibility with investors and other professional bodies
7. Prepare for merger and acquisition and exit
8. Influencing others
9. Challenging the accepted conventions to improve business performance
10. Being honest and ethical in performing the work
A NED will attend Board Meetings and be available at other times to assist the managers of the business.
